End User License Agreement (EULA)

End User License Agreement (EULA) for “FoveaAI” and “FoveaAI Evaluate” (herein referred to as “Service” or “Software”).

IMPORTANT NOTICE: This End User License Agreement (“EULA”) is a legal agreement between you (either an individual, a legal entity, or any agent acting under the authority of such an individual or legal entity, herein referred to as “you” or “User”) and FoveaAI LLC, its subsidiaries and affiliates (herein referred to as “FoveaAI LLC”, “FoveaAI”, “we”, “us”, or “our”). By accessing or using the FoveaAI Evaluate Service, which includes both the web client and the API, either of which are referred to collectively or individually as the “Service” or the “Software”, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not access or use the Service through any means.

  1. Grant of License: Subject to the terms of this EULA, FoveaAI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes or personal use, as applicable.
  2. Use: You are prohibited from engaging in the following activities and bound by the following statements, except as expressly permitted by this EULA or by applicable law.
    • Modification and Derivative Works: You may not modify, copy, or create derivative works based on the Service, except as necessary to customize reports or summaries generated by the Service for internal use or as part of your hiring, recruiting, or staffing processes.
    • Prohibited Commercial Exploitation: You may not rent, lease, loan, sell, distribute, or create a charge or security interest in the Service or its outputs. However, you are permitted to share evaluation and summary information provided by the Service with your agents, representatives (including coworkers, contractors, or any individual acting under your authority), and third-party affiliates (including customers, clients, or any entity involved in the hiring process) solely for the purpose of hiring, recruiting, or staffing. Such sharing should be in furtherance of employment-related decisions and not for the purpose of standalone distribution or resale of the information.
    • Reverse Engineering: You may not reverse engineer, decompile, or disassemble the Service, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation.
    • Harmful Transmissions: You may not use the Service to transmit any data or upload to the Service any data that contains viruses or any other harmful computer code, files, or programs.
    • Sharing Access: As a user of Service, you affirm that you are the sole authorized user of your account. You are responsible for maintaining the confidentiality and security of your account login information, including your username and password. You agree to FoveaAI immediately of any unauthorized use of your account or any other breach of security. FoveaAI will not be liable for any loss or damage arising from your failure to comply with this security obligation. You agree not to share your account or transfer any part of it to anyone else. You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities or actions. Allowing others to use your account or otherwise circumventing this provision is a violation of this agreement and may result in the immediate termination of your account and access to the Service without notice.
    • Violation of Law or Agreement: By accepting this Agreement, you confirm that your use of the Service will not violate any law, contract, intellectual property, or other third-party right, and that you are solely responsible for your conduct while using the Service. You further agree that FoveaAI is not responsible for the actions or inactions of other users of the Service.
  3. Service Access and Limitations: FoveaAI reserves the right, at its sole discretion, to limit, restrict, or terminate your access to or use of the Service at any time without notice for any reason, including but not limited to User use limitations, traffic metering, system or network maintenance, security measures, or the enhancement and optimization of the Service’s performance. Examples of such limitations or restrictions may include, but are not limited to:
    • Usage Caps: Usage limits set by payment tiers, User agreements, or to ensure equitable access to the Service for all users.
    • Scheduled Maintenance: Conducting regular or emergency maintenance to improve the Service’s reliability and performance, which may require temporarily restricting access to the Service.
    • Security Measures: Taking actions necessary to protect the integrity and security of the Service, including preventing unauthorized access or usage.
    • Legal Compliance: Enforcing compliance with legal obligations, court orders, or government directives.
    • Operational Efficiency: Adjusting the availability of certain features or functionalities to optimize operational efficiency and service quality.
  4. Intellectual Property Rights: The Service and its original content (excluding content provided by Users), features, functionality, and the design are and will remain the exclusive property of FoveaAI and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. FoveaAI does not grant any express or implied right to you under FoveaAI patents, copyrights, trademarks, or trade secret information.
  5. User Content: You grant FoveaAI a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, modify, retransmit, and display content you upload to the Service solely for the purpose of providing the Service. User is solely responsible for the accuracy, quality, integrity, legality, reliability, and copyright of all User Content. User shall obtain and maintain any rights, consents, and approvals to grant FoveaAI and third parties the right to access and use any User Content for the purpose of providing the Service.
  6. Third-Party Service Providers: FoveaAI relies on third-party service providers to facilitate various aspects of the Service, including but not limited to, language processing, computing, data storage, and infrastructure services. To provide and enhance the Service, FoveaAI may share User Content, or portions thereof, with these third-party providers. FoveaAI ensures that such sharing is strictly for the purpose of delivering the Service to you and improving Service features. By using the Service, you consent to the sharing of User Content with third-party service providers as necessary for the provision and improvement of the Service.
  7. Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into this EULA.
  8. Termination: This EULA and your license to use the Service are effective until terminated. FoveaAI reserves the right to terminate your license and access to the Service at any time, for any reason, without notice, at FoveaAI’s sole discretion. Upon termination, your rights under this EULA will cease immediately, and you must discontinue all use of the Service. Additionally, FoveaAI may delete or restrict access to any information, User Content provided by you to the Service, stored within your account, or created by the Service for you, without notice. FoveaAI is not liable to you or any third party for termination of the Service, deletion, or restriction of access to your information or data.
  9. Warranties and Disclaimers: THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE EXTENT PERMITTED BY APPLICABLE LAW. NO ORAL OR WRITTEN INFORMATION GIVEN SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF OBLIGATIONS HEREUNDER.
  10. Limitation of Liability: IN NO EVENT SHALL FOVEAAI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
  11. Indemnification: You agree to defend, indemnify, and hold harmless FoveaAI LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use of or access to the Service, b) providing User Content to FoveaAI, c) use of products or results of the Service, or d) a breach of this EULA.
  12. Severability: This EULA, together with any additional terms you may agree to in using certain elements of the Service, constitutes the entire agreement between you and FoveaAI regarding the Service. The failure of FoveaAI to enforce any right or provision of this EULA will not be considered a waiver of those rights. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect.
  13. Governing Law: This EULA shall be governed and construed in accordance with the laws of New Jersey, without regard to its conflict of law provisions.
  14. Changes to this EULA: FoveaAI reserves the right, at our sole discretion, to modify or replace this EULA at any time. It is your responsibility to check this EULA periodically for changes.

    By using the Service or by indicating your agreement to this End User License Agreement (“EULA”) through any form of electronic or written consent, you acknowledge that you have read, understand, and agree to be bound by its terms and conditions. Your agreement may be indicated by use of the Service, or by any physical or electronic means that reasonably demonstrates your acceptance of these terms, whether now known or developed in the future

1. Introduction

FoveaAI LLC (“us”, “we”, or “our”) operates foveaai.com and all associated domains and services (hereinafter referred to as “Service”).
